A & N Islands Forests & Plantation Development Ltd.

1. The Name of the Company is "The Andaman and Nicobar Islands Forest and Plantation Development Corporation Limited"

2. The Registered Office of the Company will be situated in the Union Territory of Andaman and Nicobar Islands.

3. The Company is established with the following objectives.

• MAIN OBJECTS

  1. To provide the necessary infrastructure to harvest and develop forest resources based, to promote forest resources based Industries, to arrange marketing of timber and other forest resources on the mainland and abroad.

  2. To plant, grow, cultivate, produce, and raise plantations of various forest species of proven utility and other agricultural, plantation, horticultural crops, medicinal and aromatic plants and to buy, sell, export, import, process, distribute, or otherwise deal with all kinds of forest crops, natural products agricultural, plantation and horticultural crops, medicinal and aromatic plants.

  3. To carru on the business of planters, cultivators, producers, sellers and dealers in timber, processed or not and such other products of every description and to manufacture, dispose of sell and deal in products of natural forest and forest plantations, agricultural, plantation and horticultural crops and medicinal and aromatic plants.

  4. To establish, administer, own and run industries for manufacturing forest products, agricultural, plantation and horticultural products, medicinal and aromatic plants.

  5. To conduct and contract for training and research connected with the integrated develoment of forest resources of the islands and cultivation as well as processing of agricultural, plantation and horticultural crops, medicinal and aromatic plants.

  6. To maintain and improve Wild Life and other natural Resources.

• INCIDENTAL AND ANCILLARY OBJECTS

  1. To undertake construction of buildings, forest roads and communication system of any description.

  2. To construct, execute, carry out, improve, work, develop, administer, manage or control with in the Union Territory or elsewhere, works and conveniences of all kinds, which expression in this Memorandum includes forest tramways, ropeways, harbours, embarkments, irrigation, reclamation, sewage, drainage, sanitary, water, gas, electricity, telephonic, telegraphic and power supply works, warehouses, market and buildings private or public and all other works or conceniences whatsoever.

  3. To apply for tenders, purchase or otherwise acquire any contract and concession for or in relation to the construction, execution, carrying out, equipment, improvement, management, administration or control of works and conveniences and to undertake, execute, carry out, dispose of or turn to account the same.

  4. To enter into any contract or arrangement for the more efficient conduct of the buisness of the Company or any part thereof and to sublet any contracts from time to time.

  5. To acquire or take over with or without consideration and carry on the buisness of planters, cultivators, sellers and dealers in forest products of every description and dispose of, sell and deal in products of such plantations.

  6. To acquire by gift, purchase, exchange, lease or hire or otherwise, the property rights or privileges over forest areas, rivers, creeks, canals and seas for the purpose of forest operation and marketing of the produce.

  7. To acquire by gift, purchase, exchange, lease or hire or otherwise, land, buildings, different kinds of machinery, logging equipments, transport vehicles, tractors, boats launches, locomotives and other assets for extraction of timber and establishment of forest plantations.

  8. To undertake, assist and/or collaborate with suitable parties in or outside India in the procurement of equipment for extraction and transportation of timber marketing of timber, and for undertaking large scale plantations of forest as well as agricultural plantation and horticultural crops, medicinal and aromatic plants with the prior approval of the President of India.

  9. To erect factories in suitable places in the Union Territory for manufacture of sawn-timber, venner, plywood, match splints, wood chips, knock-down furniture and such other products from timber as well as processing of agricultural, plantation and horticultural crops, medicinal and aromatic plants.

  10. To engage in timber market research and surveys within the country and abroad.

  11. To publicies and popularise the timber and timber products and products of all kinds of plantations of Andaman and Nicobar Islands through booklets, leaflets, posters, exhibits, broadcasts, films, newspapers, journals, magazines and other means.

  12. To engage small contractors, co-operative societies and others on specific items of work for extraction of timber, clear-felling of forest areas, transportation of timber by road and/or sea and plantation of forest, agricultural plantation and horticultural crops, medicinal and aromatic plants.

  13. To undertake Agro-Silvicultural works and to promote plantation of Horticultural and other species along with plantation of forest species.

  14. To purchase, charter or otherwise aquire, sell, exchange, let or cherter in Andaman and Nicobar Islands, any other part of India or any other country or otherwise deal with ships of any description for transportation of timber and other forest products to the mainland and foreign countries.

  15. To purchase take on lease or in exchange or otherwise acquire, any share or interest in ships, vessels or crafts of any description and also shares, stocks and securities of any companies possessed or interest in any ships or vessels or craft.

  16. To construct, purchase, own, maintain, repair, refit, replace, restore, sell or dispose of engines, boilers, machinery, component parts accessories and fittings for boats and launches of any description or kind.

  17. To carry on the buisness of carries by land and water, ship- owners, ship agents, dock-owners, warehousemen, wharfingers, barge-owners, lightermen, forwarding agents, stevedores, in furtherence of or in connection with their business of carriers by land and sea and provide facilities for the carrying on of any of the above business.

  18. To maintain, operate, renew, replace, repair, improve, alter, break, sell, exchange or let-out on hire or charter, load on commission or otherwise use, utilise, deal with and dispose of any boats and launches.

  19. To promote, establish, undertake and execute industries, projects or enterprise for manufacture and production of plant, machinery tools, implements, materials, substances, goods or things of any description which in the opinion of the company are likely to promote or advance the setting up of industries to utilise the forest resources to the best advantage and to create gainful employment opportunities for the local people or people inducted into the islands for settlement and those who opt to work in the islands.

  20. To promote and operate schemes for Industrial development benefiting optimum utilisation of forest, agricultural and horticultural resources and for the purpose of prepare and get prepared, reports, blue-prints, statistics and other information.

  21. To aid, assist and finance any industrial undertaking, project or enterprise whether owned or run by Government, Statutory Body, private company, firm or individual with capital, credit means or resources for execution of its work in connection with extraction of timber and establishment of forest and other plantations.

  22. To amalgamate with other Companies, to enter into arrangement with other Companies (subsidiaries or otherwise) and to promote and establish Companies and associations for the prosecution or execution of industrial undertakings, works, projects and enterprise of any description whether of a private or public character, which in the opinion of the Company would contribute to the optimum utilisation of forest resources and to acquire and dispose of shares and interests in such companies or associations or in any of the companies or associations in the undertakings thereof.

  23. To procure capital for or to provide machinery equipment and other facilities to any Company, person or association for the purpose of carrying into effect any object connected with the utilisation and development of forest, agricultural and horticultural resources of the islands and to subscribe for or underwrite or otherwise deal with the shares, debentures and securities of any such companies or persons of associations.

  24. To demolish, erect, construct, enlarge, alter, replace, or repair maintain factories, buildings and structure of every kind necessary or convenient for the Company's business.

  25. To sell, improve, manage, develop, exchange, lease, mortgage, enfranchise, dispose of, turn to account or otherwise deal with all or any art of the property and rights of the Company.

  26. To accept stock, or shares in, or the debebtures mortagage debentures or other securities of any other Company in payment or part payment for any service rendered or any sale made to or debt owing from any such Company.

  27. To carry on any other business (whether manufacturing or otherwise) which may seem to the Company capable of being conveniently carried on to directly or indirectly enhance the value of or render profitable any of company's property or rights.

  28. To acquire and undertake the whole and any part of the business, property and liabilities of any persons or companies and co-operative societies, Govt. agencies carrying on any business which the Company is authorised to carry on or possessed of property suitable for the purpose of this company.

  29. To pay all costs, charges and expenses incurred or sustained in or about the promotion and establishment of the Company, or which the company shall consider to be in the nature of preliminary expenses.

  30. To purchase, take on lease or in exchange hire, or otherwise and acquire any real and personal property and any rights or privileges which the company may think necessary or convenient for the purposes of its business and in particular any land, building, basements, machinery, plant, and stock- in-trade.

  31. To construct, improve, maintain, develop, work, manage, carry out any works which may seem calculated directly or indirectly to advance the Company's interest and to contribute, to subsidise or otherwise assist or take part in the construction, improvement, maintenance, working, management, carrying out or control thereof.

  32. To develop and turn to account any land acquired by the Company or in which it is interested, and in particular by laying out and preparing the same for building purposes, constructing, altering, pulling down, decorating, maintaining, fitting up and improving buildings and by planting, paving, draining farming, cultivating and letting buildings on lease or building agreement, and by advancing money to and entering into contracts and arrangements of all kinds with builders and others.

  33. To apply for and take out, purchase or otherwise acquire any trade mark patents, patent rights, inventions, copyright, designs or secret processes, which may be useful for the Company's objects and to grant licences to use the same, and to work, develop, carryout, exercise and turn to account the same either directly or through agencies or persons.

  34. To enter into any arrangements with Govt. of India or any Foreign Govt. or State or Local Authority for the purpose of carrying out the objects of the Company or furthering its interests and to obtain from such Govt. of Authority or persons of any characters, subsidies loans, indemnities, grants, contracts, licences, rights, concessions, privileges or immunities which the Company may think it, desirable to obtain and exercise and comply with any such arrangements, rights, privileges and concessions, with the prior approval of the President of India.

  35. To issue, or guarantee the issue of or the payment of interests on the shares, debentures, debenture stock, or other securities or obligations of any Company or association.

  36. To draw, make, accept, discount, execute, issue and negotiate, bills of exchange and promissory notes, debentures and other negotiable or transferable instruments.

  37. To borrow or raise or secure the payment of money in such manner as the Company shall think fit and in particular by the issue of debentures, or debenture stock, perpetual or otherwise charged upon all or any of the Company's property (both present and future) including its uncalled capital and to purchase, redeem or pay of any such securities.

  38. To receive grants, loans, advances or other moneys on deposit or otherwise from the Central Govt. or a State Govt., banks, companies trusts, partnerships and firms or individuals with or without allowance or interest thereon.

  39. To lend money to such persons or Companies and on such terms as may seem expedient, and in particular to customers and others having dealings with the company and to guarantee the performance of contracts by any such persons or companies.

  40. To invest moneys of the Company not immediately required, in such manner, other than in the shares of this Company, as from time to time, may be determined.

  41. To establish, maintain, subscribe to or subsidies or become member of training institutions, research laboratories, research institutions and experimental workshops for scientific and technical research and experiments.

  42. To provide for the welfare of the persons in the employment of the Company, and the wives, windows and families of such persons, by establishing provident or other funds by grants of money, pensions or other payments, and by providing or subscribing towards places or instructions and recreation, hospital and dispensaries, medical and other attendance, and other assistance, as the Company shall think fit, and to subscribe money to or for and otherwise help any charitable or benevolent object or any exhibition or any public show or useful object.

  43. To undertake and execute any trusts, the undertaking whereof may seem desirable and either gratuitously or otherwise.

  44. To do all or any of the above things and all such other things as are incidental or may be thought conducive to the attainment of the above objects or any of them and as principals, agents, contractors, trustees or otherwise and either alone or in conjunction with others.

• THE OTHER OBJECTS FOR WHICH THE COMPANY IS ESTABLISHED ARE

  1. To deal in all kinds of equipments for extraction and transport of timber and other forest produce and the produce of agricultural and horticultural crops, machine tools, spares, fuel oils, lubricants and establishment of repair workshops.

  2. To deal in boats, launches and other marine crafts of various description for inter-island as well as island to mainland movement of timber and other forest produce and establishment of repair workshops for maintenance of crafts.

  3. To establish or acquire and carry on the business of foresters, timber growers, farmers, cultivators, store- keeers, livestockmen, cattle breeders, dealers in animal products, timber merchants, exporters and importers and general traders in which the company is authorised to carry on business.

  4. To manufacture, make and deal in metal, wood and any other products, substance, particles and things of any description and kind in which the Company is authorised to carry on buisness.

  5. To manufacture, buy, sell, import, export, install, work and generally deal in any plant, machinery, substance, tools materials, goods or things of any description which in the opinion of the Company may be conveniently dealt with by the Company in connection with any of its objects.

• The liability of the members is limited.

• The authorised share capital of the Company is Rs. Six Crores divided into 60,000 equity shares of Rs. 1,000/= each.
